Introduction

Welcome to VerifiedEmail, LLC ("VerifiedEmail", "we", "us", "our"). This Terms of Service ("Terms") is a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and VerifiedEmail, LLC. It governs your access to and use of our services provided on https://verified.email (the "Site") and all its subdomains, as well as any mobile or online versions, related media forms, media channels, linked or otherwise connected thereto (collectively referred to as "VerifiedEmail"). Our offerings include email validation services along with associated features, applications, content, and technology (collectively, the "Services").

By accessing the Site, registering an account, or using the Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site and the Services.

Changes to Terms: We reserve the right to update or modify these Terms at any time to reflect changes in our practices, for operational, legal, or regulatory reasons. Any changes will be posted on the Site, and we may also notify you via email or through site announcements. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you should discontinue your use of the Services.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of the Terms, you are not permitted to use the Services.

Accounts

Registration, Security, and Deactivation

Registration of the account: In order to access and use the full functionality of VerifiedEmail, you are required to create a user account (the “Account”) on the Website and undergo a verification process. You are only allowed to have one Account. If we are under the impression that you have created multiple Accounts, we reserve the right to suspend any or all of them.

When you create an account with VerifiedEmail, you must:

  • Be at least 18 years old.
  • Provide accurate, complete, and current information.
  • Comply with all local, state, national, and foreign laws, treaties, and regulations.
  • Maintain the security of your account and promptly notify us if you discover or suspect any security breaches.
  • Accept responsibility for all activities that occur under your account and password.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Account Security: You must ensure the confidentiality of your account and API key. You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use of your account or other security breaches.

Account deactivation: You may deactivate your account at any time through the settings of your account or by sending a request directly to us at hello@verified.email. Upon deactivation, your account will be closed, and all associated data will be deleted.

Suspension and Termination of the Account

We reserve the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

Conditions for Service Termination:

  • Refusal of Service: Decline to process any email verifications that, in our judgment, violate these Terms or could be considered harmful or objectionable; or if the quality of your email list is determined to be below average, as assessed by our verification processes.
  • Denial of Access: Restrict or terminate access to and use of the Services, including the VerifiedEmail API, to any individual or entity for any reason, at our discretion.
  • Service Discontinuation: Terminate any or all of the Services provided through the Site without notice. In the event of such termination, you will not be eligible for a refund of any unused Credits, whether purchased in bulk or on a monthly basis.

Consequences of Termination

Upon termination:

  • All your rights granted under these Terms will terminate immediately.
  • You must cease all use of the Services and delete all copies of associated content in your possession.
  • We are not liable to you or any third party for termination of your account, access to the Services, or deletion of your account information.

Communications

By creating an account, you agree to receive newsletters, marketing, or promotional materials from us. You may opt out of receiving these communications by following the unsubscribe link or instructions provided in any email we send.

License Grant and Restrictions

License Grant

We grant you a personal, revocable, non-exclusive, non-transferable, limited license to access and use the VerifiedEmail Services strictly in accordance with these Terms. This license is granted solely for your internal business purposes and does not permit resale of VerifiedEmail Services or any content accessible through our Services.

Use Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Services.
  • Appropriate, modify, reproduce, or disseminate any source or object code or any software or other products, tools, or processes associated with or accessible through the Services.
  • Use the Services for any illegal or unauthorized purpose (for example, verify email addresses that you have obtained unlawfully or that you are not authorized to possess or process).
  • Harvest or otherwise collect or store any information through the Site (including email addresses or other personal data);
  • Infringe on the rights of others, including privacy and intellectual property rights.
  • Transmit any viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Services, other computer systems or networks connected to the Services; or
  • Otherwise violate these Terms or any applicable additional terms.

Customer Data

You retain full ownership of the data you upload to VerifiedEmail ("Customer Data"). This data is considered confidential and will not be accessed, used, or disclosed by us except as necessary to provide and improve the Services, or as required by law.

We do not sell or share personal data uploaded by users in the course of using the Services. You are solely responsible for ensuring the accuracy, legality, and ownership of all Customer Data you provide.

Use of Identifying Information

You consent to being identified as a customer of VerifiedEmail and agree that we may use your company's logo and other identifying information for promotional purposes.

    Credit Purchase and Usage

    VerifiedEmail Services are purchased using credits (the “Credits”), each entitling you to verify one email address. By purchasing Credits, you agree to pay the associated fees (the "Fees") specified on our website or as communicated to you. Unless otherwise stated, the Fees are indicated in United States dollars (USD) and include all applicable taxes. Fees are subject to change without prior notice but will remain valid as advertised on the website at the time of purchase. Credits purchased do not expire and are non-refundable, except as specifically provided in these Terms. You may purchase any number of bulk Credits at any time through the Website or by an API call (if purchased before).

    Payment Terms

    Payment for Credits must be made in advance unless otherwise agreed upon by both parties. If Credits are issued on a deferred payment basis, and payment is not received within 30 days of issuance, the unused Credits will be deactivated until payment is received.

    Free Trial

    We offer a free trial account that includes 150 free Credits to new users. These Credits allow you to test the Services without any initial payment. We encourage you to utilize these Credits to fully evaluate our Services before committing to additional purchases.

    Payment processing

    All payments are processed by our third-party payment processor, FastSpring. By submitting your payment information, you authorize FastSpring to process all charges to the provided payment methods. You are responsible for providing accurate and up-to-date payment information. FastSpring is responsible for handling your payment and maintaining the security of your payment data. Visit FastSpring's Terms and Conditions for more details.

    VerifiedEmail is not liable for issues that arise due to incorrect payment information provided by you or refusal of payment by FastSpring. You agree not to hold VerifiedEmail responsible for payment failures or delays associated with the payment processing by FastSpring.

    Verification Failures

    If we are unable to verify an email address and return a result of "unknown," the Credits used for that verification will be returned to your account. "Unknown" results do not qualify for payment refunds under any circumstances.

    Duplicates

    Credits will not be charged for duplicate entries across your lists, ensuring efficient use of your purchased Credits.

    Order Cancellation and Refusal

    We reserve the right to refuse or cancel any order for reasons including, but not limited to, service availability, errors in the advertised price or description of the service, order errors, suspected fraud, or unauthorized or illegal transactions.

    Your Content

    Content Responsibilities

    You may post, link, store, share, and make available certain information, text, links, and files through VerifiedEmail ("Your Content"). You retain all your rights to Your Content and must ensure that it does not violate any applicable laws or rights of others. You grant us a limited license to use, modify, and display Your Content solely as necessary to provide the Services.

    Public Content

    Some of Your Content, such as comments on public posts, may become publicly available. By posting such content, you acknowledge that it may be viewed by others.

    VerifiedEmail's Content

    Intellectual Property

    Except for Your Content, all materials provided through VerifiedEmail, including text, graphics, logos, images, and software are the property of VerifiedEmail or its content suppliers and are protected by intellectual property laws. You may not use such materials without permission from VerifiedEmail or as permitted by law.

    Links To Other Websites

    Our Services may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content or practices of these third-party websites.

    Availability, Errors, and Inaccuracies

    Information Accuracy

    We strive to ensure that the information offered on VerifiedEmail is accurate and reliable. However, inaccuracies, errors, or omissions may occur. The content provided on our Site should not be considered error-free or a comprehensive source of all information related to the Services. We are continuously improving and updating our offerings and may experience delays in updating information on the Site. VerifiedEmail makes no warranties or representations about the accuracy, reliability, completeness, or timeliness of the content.

    Product and Service Information

    Products or Services available on VerifiedEmail may be mispriced, described inaccurately, or unavailable due to errors or circumstances beyond our control. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Services is inaccurate at any time without prior notice.

    Indemnification

    You agree to defend, indemnify, and hold harmless VerifiedEmail, its licensees, licensors, and their employees, contractors, agents, officers, and directors from any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Services, or a breach of these Terms.

    Limitation of Liability

    In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

    OFAC Compliance

    You represent and warrant that you: (i) are not a resident of any country subject to sanctions by the Office of Foreign Assets Control, Department of the Treasury (OFAC); (ii) are not listed on the Specially Designated Nationals and Blocked Persons List or any other similar lists maintained by OFAC under any authorizing statute, executive order, or regulation; (iii) are not a person or entity with whom U.S. citizens are prohibited from transacting under any trade embargo, economic sanction, or other prohibitions under U.S. law, regulation, or executive orders; (iv) are not engaged in activities that violate any anti-corruption or anti-money laundering laws; and (v) are not under investigation by any governmental authority for alleged criminal activity related to OFAC regulations, the Patriot Act, anti-corruption laws, or anti-money laundering laws.

    Disclaimer

    The Services are provided on an “AS IS” and “AS AVAILABLE” basis and your use of these Services is at your own risk. VerifiedEmail expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation, any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.

    Force Majeure

    We shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond VerifiedEmail, LLC's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

    Governing Law

    These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of laws principles.

    Severability

    If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

    Waiver

    No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

    Amendment

    No amendment to these Terms will be effective unless it is in writing and signed by a duly authorized representative of VerifiedEmail, LLC.

    Merger or Acquisition

    In the event of a merger, acquisition, or sale of assets, VerifiedEmail will make reasonable efforts to ensure that the acquiring entity is bound by the terms and conditions of these Terms.

    Entire Agreement

    These Terms constitute the entire agreement between you and VerifiedEmail, LLC regarding the use of the Services, superseding any prior agreements between you and VerifiedEmail, LLC relating to your use of the Services.
